Please read these Terms & Conditions carefully before engaging Tessera's services or using this website. By accessing the site or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms. Questions may be directed to [email protected].
1. Definitions
- "Agreement" means these Terms & Conditions together with any applicable service engagement letter or statement of work.
- "Service" means any AI consulting, data, or technology service offered by Tessera as described on this website or in a service engagement document.
- "Client" / "You" means the individual or organisation entering into a service agreement with Tessera.
- "We" / "Us" / "Tessera" means Tessera, a company incorporated in Malaysia with a registered address at 7 Jalan Sultan Ismail, 50250 Kuala Lumpur.
- "Deliverables" means any outputs, reports, models, dashboards, or documentation produced as part of a service engagement.
- "Confidential Information" means any non-public information shared by either party in connection with a service engagement.
2. Acceptance of Terms
These Terms apply to all visitors to this website and to all parties who engage Tessera for services. By submitting an enquiry form, signing an engagement letter, or making a payment, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
3. Service Description and Scope
Tessera provides AI-related professional services including, but not limited to: natural language analytics, recommendation engine design, and data pipeline optimisation. The specific scope, duration, and pricing of each engagement are defined in a written statement of work or engagement letter agreed upon before work commences.
Services are available to organisations and professional users in Malaysia and, at Tessera's discretion, to clients in other jurisdictions. We reserve the right to decline any engagement without obligation to provide a reason.
4. Payment Terms
- All fees are denominated in Malaysian Ringgit (RM) unless otherwise specified in the engagement letter.
- An invoice will be issued according to the payment schedule agreed in the statement of work. Standard terms are 50% upon engagement commencement and 50% upon delivery of final deliverables, unless varied in writing.
- Payment is due within 14 days of the invoice date unless agreed otherwise.
- Late payments may incur interest at 1.5% per month on the outstanding balance.
- All fees are exclusive of applicable taxes unless stated otherwise. Clients are responsible for any taxes arising in their jurisdiction.
5. Refund and Cancellation Policy
Engagements may be cancelled by either party with written notice. In the event of cancellation:
- Fees for work already completed or materially in progress are non-refundable.
- Where a deposit has been paid and no work has commenced, Tessera will refund the deposit less any reasonable administrative costs incurred.
- Tessera reserves the right to terminate an engagement where a client fails to provide required data, approvals, or cooperation within a reasonable timeframe, without obligation to refund fees for work completed.
6. User Responsibilities
In connection with any service engagement or use of this website, you agree that you will not:
- Provide false or misleading information to Tessera in connection with an engagement or enquiry
- Use any deliverables for purposes outside the scope agreed in the engagement letter
- Attempt to reverse-engineer, resell, or redistribute Tessera's methodologies, tools, or proprietary materials without written consent
- Use this website to transmit harmful, offensive, or unlawful content
- Attempt to gain unauthorised access to any part of Tessera's systems or infrastructure
7. Intellectual Property
Tessera retains ownership of all proprietary methods, frameworks, templates, and tools used in delivering services. Upon full payment of all fees, Tessera grants the client a non-exclusive, non-transferable licence to use the deliverables for internal business purposes only.
Where a client provides data or materials for use in an engagement, the client represents that they hold the necessary rights to share such materials with Tessera for the purposes of the engagement.
All website content, including text, structure, and visual design, is the property of Tessera and may not be reproduced without written permission.
8. Confidentiality
Both parties agree to keep Confidential Information received from the other party private and to use it solely for the purposes of the engagement. This obligation survives the termination of any engagement for a period of three (3) years. Standard exclusions apply, including information that is publicly available or independently developed.
9. Disclaimers
Tessera's services are provided in good faith based on information available at the time of the engagement. We do not warrant that any deliverable will produce specific commercial outcomes, performance improvements, or results. AI-related services involve inherent uncertainty and the outputs of models or systems are dependent on data quality and external conditions outside Tessera's control.
This website is provided on an "as is" basis. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law, Tessera's total liability for any claim arising from or in connection with a service engagement shall not exceed the total fees paid by the client for the relevant engagement in the preceding three months.
Tessera shall not be liable for any indirect, consequential, incidental, or special damages, including loss of profit, loss of data, or business interruption, however caused.
11. Indemnification
You agree to indemnify and hold Tessera harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of any deliverables, or your provision of inaccurate or unauthorised data in connection with an engagement.
12. Termination
Either party may terminate an engagement by providing written notice. Tessera may terminate immediately where a client materially breaches these Terms or any engagement letter and fails to remedy the breach within 14 days of written notice. Upon termination, the client's right to use any deliverables provided under that engagement will cease, subject to any licence already granted for completed work.
Provisions relating to payment, intellectual property, confidentiality, disclaimers, limitation of liability, and governing law will survive termination.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with these Terms or a service engagement will be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
Before commencing formal proceedings, either party may request a good-faith discussion to attempt to resolve the dispute informally within 30 days of written notice.
14. General Provisions
- Entire Agreement: These Terms, together with any signed engagement letter, constitute the entire agreement between the parties regarding the relevant subject matter.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
- Waiver: Failure to enforce any provision at any time does not constitute a waiver of the right to enforce it later.
- Assignment: You may not assign your rights under these Terms without Tessera's written consent. Tessera may assign its obligations in connection with a business transfer or restructuring.
- Notices: Formal notices should be sent in writing to the addresses stated in the applicable engagement letter or to [email protected].
15. Changes to These Terms
Tessera may update these Terms from time to time. The revised version will be posted on this page with an updated "Last Updated" date. For active service engagements, material changes will be communicated directly. Continued use of the website or services after any update constitutes acceptance of the revised Terms.
